1. Agreement to Terms

These Terms of Service ("Terms") govern your use of In The Loop, a care coordination service operated by Pretty Good Software LLC ("we," "us," or "our"). By creating an account or using our service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the service.

We may update these Terms from time to time. We will notify you of material changes by email or through the service. Your continued use after changes take effect constitutes acceptance of the revised Terms.

2. Disclaimer

IN THE LOOP AND ALL CONTENT, FEATURES, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

We make no warranty that the service will meet your requirements, be available without interruption, be secure, or be free of errors. No information, whether oral or written, obtained by you from us or through the service will create any warranty not expressly stated in these Terms.

This disclaimer does not limit your statutory rights as a consumer in jurisdictions where such limitations are not permitted.

3. Service Description

In The Loop is a platform that helps users coordinate care for others. Our service enables you to:

  • Create and manage care plans for people you care for
  • Share care information with other caregivers you invite
  • Track medications, appointments, documents, and other care-related information
  • Communicate with other caregivers through secure messaging

Our service is designed to support caregiving activities and coordination, whether you are a family member, friend, community member, or professional caregiver. We are not a healthcare provider, legal advisor, or financial advisor.

4. Account Registration & Security

To use In The Loop, you must:

  • Be at least 18 years of age
  • Be a legal resident or citizen of a jurisdiction where use of the service is permitted
  • Provide accurate, current, and complete registration information
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized use of your account at legal@intheloop.care

You are solely responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

5. Acceptable Use

You agree to use In The Loop only for lawful purposes and in a manner consistent with these Terms. You agree NOT to:

  • Use the service for any illegal purpose or in violation of any applicable laws
  • Share content that is false, misleading, harmful, threatening, abusive, defamatory, or harassing
  • Attempt to access other users' accounts or data without authorization
  • Upload viruses, malware, or any other malicious code
  • Interfere with or disrupt the service, servers, or networks
  • Use the service to send spam or unsolicited commercial communications
  • Collect personal information about other users without their consent
  • Impersonate any person or entity
  • Use the service to develop a competing product or service
  • Use the service in any way that could harm or endanger care recipients or other users

We reserve the right to suspend or terminate access for violations of this section.

6. User Content

Ownership: You retain full ownership of all content you create or upload to In The Loop, including care plans, notes, documents, and messages ("User Content").

License to us: By using our service, you grant us a limited, non-exclusive, royalty-free license to store, display, and transmit your User Content solely for the purpose of providing the service to you and the users you authorize. We do not use your User Content for any other purpose.

Your responsibility: You are responsible for the accuracy and legality of the User Content you provide. You represent that you have the right to share any information you upload — including information about care recipients — and that doing so does not violate their privacy rights or any applicable laws.

Note on health privacy laws: In The Loop is a personal coordination tool and is not a covered entity under HIPAA. You are responsible for ensuring your use of the platform complies with any privacy obligations you may have.

7. Shared Access & Invitations

When you invite others to access a care plan or household:

  • You are responsible for ensuring that invited users are appropriate to receive the shared information
  • You control access levels through groups and permissions within the platform
  • You can revoke access at any time
  • Other authorized users may add or modify content within shared care plans

8. Intellectual Property

All content that is part of the In The Loop platform — including its design, interface, graphics, logos, text, and software — is owned by Pretty Good Software LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works from any part of the service without our express written permission. Our name, logo, and product names are trademarks of Pretty Good Software LLC and may not be used without prior written consent.

Nothing in these Terms grants you any rights in the service or its content other than the limited right to use the service as described herein.

9. Feedback

If you submit ideas, suggestions, or other feedback about the service ("Feedback"), you grant Pretty Good Software LLC a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate that Feedback into the service without any obligation of compensation or attribution. You represent that your Feedback does not infringe any third-party rights.

In The Loop does not provide medical, legal, or financial advice. All information available through the service — whether entered by you, other users, or provided by us — is for general informational and coordination purposes only and should not be construed as professional advice of any kind.

Medical

Nothing on this platform constitutes medical advice, diagnosis, or treatment. Medication tracking, care notes, and appointment information are coordination aids only. Always consult a qualified healthcare provider before making any medical decisions. Do not disregard or delay seeking professional medical advice based on anything stored or communicated through In The Loop.

Legal

Nothing on this platform constitutes legal advice. Any documents, forms, or information related to powers of attorney, care directives, or other legal matters are provided for organizational purposes only. Always consult a licensed attorney for legal advice specific to your situation.

Financial

Nothing on this platform constitutes financial or investment advice. Any financial information stored or shared through the service is for personal coordination purposes only. Always consult a qualified financial advisor for advice specific to your situation.

11. Third-Party Services

Our service may integrate with or link to third-party services (such as calendar applications or document storage). These services have their own terms and privacy policies. We are not responsible for the content, accuracy, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

12. Service Availability

We strive to maintain reliable service, but we do not guarantee uninterrupted or error-free access. We may:

We do not warrant that:

  • The service will meet your specific requirements
  • The service will be uninterrupted, timely, secure, or error-free
  • Any information provided through the service is accurate, complete, or reliable
  • Any defects in the service will be corrected

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRETTY GOOD SOFTWARE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of data or content
  • Loss of profits or revenue
  • Personal injury or property damage
  • Any damages arising from your use of or inability to use the service

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Pretty Good Software LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you provide through the service

16. DMCA & Copyright

We respect intellectual property rights and expect users to do the same. If you believe that content on In The Loop infringes your copyright, you may submit a notice to our designated DMCA agent at dmca@intheloop.care.

Your notice must include:

  • A physical or electronic signature of the copyright owner or authorized representative
  • Identification of the copyrighted work you claim has been infringed
  • Identification of the infringing material and its location on the service
  • Your contact information (address, phone number, and email)
  • A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or law
  • A statement under penalty of perjury that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner

We will respond to valid DMCA notices promptly. We reserve the right to terminate the accounts of users who are repeat copyright infringers.

17. Privacy

Your privacy matters to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the service, you agree to our Privacy Policy, which is incorporated into these Terms by reference.

18. International Use

In The Loop is operated from the United States. If you access the service from outside the U.S., you do so at your own initiative and are responsible for compliance with your local laws. We make no representation that the service is appropriate or available in all locations.

19. Termination

By you: You may terminate your account at any time by contacting us. Upon termination, we will delete your data in accordance with our Privacy Policy.

By us: We may suspend or terminate your account if you violate these Terms, engage in conduct that could harm other users or the service, or for any other reason at our discretion. We will provide notice when reasonably possible. Termination immediately ends your right to use the service.

20. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

21. General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • No waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights at any time.
  • Electronic consent: By using the service, you consent to receive notices and agreements electronically and agree that electronic agreements have the same legal effect as written ones.
